Terms of service
Last updated: 9 September 2026
These terms govern your use of AfriBizOS (the "service") — the marketing site, the app, and the APIs. By creating a workspace you accept them. They are written to match what the service actually does; where something is not live yet, the terms say so too.
1. The service
AfriBizOS is double-entry accounting software for Nigerian businesses: capture (receipts, bank alerts, WhatsApp), AI-drafted journal proposals that a human must approve, a deterministic ledger, statutory computations (NTA 2025 PAYE, VAT, CIT, WHT, PENCOM, NHF, NSITF, ITF, NHIS), NRS e-invoice generation (sandbox; direct submission is not live), and exports in open formats.
2. The approval boundary
Software can draft; only you (or a team member you authorised) can approve. The ledger engine rejects writes from AI actors on every path. Nothing in the service moves money: payment links (via Paystack, in pilot) collect money you are owed; payroll and remittances are records and reminders — the actual payment happens at your bank or the agency portal.
3. Accounts & workspaces
- You must be able to contract under Nigerian law; one workspace per business.
- You are responsible for the accuracy of your statutory identity (TIN, RC, address) — the e-invoice XML carries exactly what you enter.
- Team members act under the roles you give them; the audit log attributes every action.
4. Plans, trials and billing
- Founder (₦0): the free plan described on the pricing page, subject to fair-use limits enforced by the engine.
- Paid plans (Business ₦18,500 / Group ₦49,000 / Firm from ₦60,000 per month): 30-day trial, then billed monthly. Card billing is not live yet — paid plans are currently invoiced manually while payment rails are switched on; trial entitlements and plan limits apply regardless.
- Prices are in NGN, exclusive of VAT, and may change on 30 days' notice. Cancelling stops future billing; your data export rights below survive.
5. Your data
Your books are yours. You can export everything, anytime, in open formats (ledger, audit log, CSV/IIF). On closure, erasure follows the privacy notice's 72-hour SLA, save for records the law requires us or you to keep. See the privacy notice for how data is processed.
6. Tax and compliance figures
The engine computes statutory figures deterministically from the rates in force (documented in-app). Computations are aids to compliance, not advice; you remain responsible for your filings, and we recommend a chartered accountant for anything material. The e-invoice XML is generated from your records — review it before submitting through the NRS portal; we do not submit on your behalf yet.
7. Acceptable use
No unlawful books, no attempts on other tenants' data, no scraping, no reverse-engineering the engines for a competing product, and no using the SMS parser to process messages of people who have not consented.
8. Availability & support
We target a high-availability deployment but do not yet contract a specific uptime SLA; the status page is honest about incidents. Support is email + in-app; paid plans get priority.
9. Liability
To the maximum extent permitted by law, AfriBizOS's aggregate liability is limited to the fees you paid in the 12 months before the claim. We are not liable for tax penalties arising from figures you approved or identity you entered wrongly, or for losses caused by your bank, Mono or Paystack.
10. Termination
You can close your workspace anytime (export first). We may suspend accounts for non-payment or the unacceptable use in §7, with notice where practical.
11. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria; disputes go to the courts of Lagos, Nigeria.
